EULA License InformationShareware License Agreement and Limited Warranty
This is a legal agreement between you, the "end user," and
Mervyn Jose (SiteAll) ("the author"). Downloading of this
shareware (the "SOFTWARE") indicates your acceptance of
these terms.
Copyright
The Software is owned by the author (except where stated)
and is protected by Canadian copyright laws and international
treaty provisions.
Grant Of License
The author hereby grants the end user non-exclusive right to
use one copy of the software by the end user personally on
one or more computer(s). All other rights not expressly
granted are reserved by the author.
The end user may store one or more copies of the software
offline, on secondary storage media (i.e. tape, diskette) for
backup purposes. The end user may not charge or receive any
consideration from any other person for the receipt or use
of the Software without receiving the author's prior written
consent. If the end user wish to include the Software as part
of a "shareware compilation", please contact the author for
written consent. The end user may not: modify, translate,
disassemble, decompile, reverse engineer, or create derivative

kind. The entire and exclusive liability and remedy for breach
of this limited warranty shall be limited to replacement of
defective media or documentation and shall not include or
extend to any claim for or right to recover any other damages,
including but not limited to, loss of profit, data, or use of
the software or special, incidental or consequential damages,
or other similar claims, even if the author has been
specifically advised of the possibility of such damages. In
no event will the author's liability for any damages to the
end user or any other person ever exceed the lower of the
list price or the actual price paid for the license to use
the software, regardless of the form of the claim.

General
This license will be construed under the laws of the State of
New Jersey, except for that body of law dealing with conflicts
of law. If any provision of this License shall be held by a
court of competent jurisdiction to be contrary to law, that
provision will be enforced to the maximum extent permissible,
and the remaining provisions of this license will remain in

Distribution License InformationDISTRIBUTION AGREEMENT
AGREEMENT by and between Siteall.com, a New York
corporation ("SiteAll") and the undersigned ("Distributor").
1. Agreement Scope. This Agreement supercedes any and all prior
distribution agreements between SiteAll and Distributor. The
terms of this distribution agreement may be changed by SiteAll
without prior notice, and SiteAll reserves the right to terminate
this distribution agreement with Distributor at any time.
2. Authorization. SiteAll grants Distributor a non-exclusive
license to distribute any of SiteAll's shareware products,
provided that Distributor abides by the Terms of Distribution.
3. Terms of Distribution:
a. For each product, Distributor must distribute the entire
software package, including but not limited to: "Read Me"
files, documentation, software license, and the program itself.
Distributor may not modify any part of the program or
the accompanying files in any way.
b. Distributor agrees to distribute only the latest versions of
SiteAll's products, and agrees to check SiteAll's site for the
latest versions of any products before distributing them.
4. SiteAll's Site. The latest versions of SiteAll's products are
always available in the SiteAll site on the following services:
o Internet: Visit our web site at http://www.SiteAll.com/ or our
ftp site at ftp://ftp.SiteAll.com/
5. Notification. SiteAll agrees to notify Distributor via electronic
mail when any new versions of SiteAll's products are released.
6. Term. This Agreement shall expire 5 years after the date set forth
below, unless sooner terminated in accordance with the provisions
of this Agreement.
7. Governing Law. This Agreement shall be governed by and construed
in accordance with the laws of the State of New Jersey without
reference to its conflict of laws provisions.
8. Authority. Each party hereby represents that it has the
unrestricted right and authority to enter into and perform its
obligations under this Agreement. |
