Terms and Conditions of License Agreement
The Net Memetic Pte Ltd
1. The following terms and conditions shall apply to and form part of the
license agreement ("License Agreement") to be entered into between The Net
Memetic Pte Ltd and you in respect of the The Net Memetic's Firewall
RuleMaker\u2122 software product.
2. The Net Memetic Pte Ltd and its affiliates ("The Net Memetic") will
grant you a non-exclusive, non-transferable license to use The Net
Memetic's Firewall RuleMaker\u2122 software product and related documentation
("Software") solely for the purpose as described in the software product
documentation.
3. In these terms and conditions, "use" as a noun means, in relation to the
Software, its loading, displaying, running, transmission or storage for the
purpose of processing the instructions contained in the Software and "use"
as a verb has a corresponding meaning.
4. You shall at all times ensure that the Software is at all times
correctly used in accordance with the software product documentation and
that all persons who are authorised by you to use the Software are suitably
qualified. You shall not permit any person (except your properly qualified
and authorised employees who need to use or have access to the Software for
the purpose specified in the software product documentation) to use or have
access to any part of the Software, and shall take all practicable steps to
prevent any access to the Software by any other person.
5. You acknowledge and agree that the Software contains confidential and
proprietary information of The Net Memetic and its licensors and is
provided solely under the terms and conditions of the License Agreement.
You shall not at any time (either during the term or after the termination
of the License Agreement):
(a) disclose to any person, except your properly qualified and authorised
employees who need to have access to the information; or
(b) use for any unauthorised purpose,
any information contained in or concerning the Software, except to the
extent that the information is at the date when it is disclosed to you or
at any time after that dat through no fault of yours has become public
knowledge, and you shall accordingly ensure that each of your employees is
instructed as to the confidential nature of such information, and shall
take all practicable steps to prevent its unauthorised disclosure or use.
6. All right, title and interest in and to the Software, including but not
limited to patent, copyright, trade secret, trademark and all other
intellectual property rights are and shall remain in The Net Memetic and
its licensors. You agree not to do anything which might bring into question
The Net Memetic or its licensors' ownership of those rights or their
validity. You shall ensure that any copy of the Software which you use
shall bear the same copyright and other proprietary notices as those on the
copy of the Software made available to you by The Net Memetic, and shall
not alter or obliterate any such notice.
7. You shall notify The Net Memetic as soon as practicable after you become
aware of any actual, threatened or suspected infringement of the copyright
or other intellectual property rights of The Net Memetic in the Software or
of any breach of confidence relating to any of the foregoing.
8. You may not:
(a) except to the extent incidental to the use of the Software as
permitted in the software product documentation, copy the whole or any
part of the Software;
(b) convert the whole or any part of the Software from object code into
source code;
(c) merge or combile the whole or any part of the Software with any other
computer software;
(d) rent, lease or transfer the Software;
(e) use any of the confidential information of The Net Memetic contained
in or derived from the Software to develop or market any software which
is substantially similar in its function or expression to any part of the
Software; or
(f) modify, reverse-engineer, decompile, disassemble or generate works
derived from the Software.
9. The Net Memetic reserves all rights not expressly granted.
10. The term of the License agreement is for an indefinite period. Your
right to use the Software shall end automatically without notice in the
event of non-compliance with any of the terms and conditions of the License
Agreement, without prejudice to any other right or remedy of The Net
Memetic in respect of such non-compliance or any other breach by you. On
termination of the right of use, you shall uninstall the Software from your
computer and shall destroy all copies of the Software. On termination of
the right of use, except in respect of any accrued rights, The Net Memetic
shall have no further obligation to you under the license agreement.
11. You shall promptly notify The Net Memetic of any defect or error in the
Software and The Net Memetic will, subject to the following provisions, use
its reasonable endeavours to correct the defect or error, and to send a
corrected version of the Software to you, as soon as practicable after
being so notified. The Net Memetic shall not be obliged to correct any
defect or error in the Software which arises from:
(a) any improper or unauthorised use or operation of the Software;
(b) the adaptation, modification or alteration in any way of any part of
Software or the merger or combination of any part of the Software with
any other computer software;
(c) your failure to comply with any advice or instructions given by The
Net Memetic with regard to the use of the Software; or
(d) your failure to install any corrected version or any update or
improvement of the Software supplied by The Net Memetic.
12. EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND CONDITIONS,
THE NET MEMETIC DISCLAIMS ANY AND ALL WARRANTIES,
REPRESENTATIONS OR UNDERTAKINGS INCLUDING, BUT NOT LIMITED
TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR
A PARTICULAR PURPOSE, EFFECTIVENESS OR QUALITY OF THE
SOFTWARE, OR THAT THE SUPPLY OR USE OF THE SOFTWARE WILL
NOT INFRINGE THE COPYRIGHT OR ANY OTHER INTELLECTUAL
PROPERTY RIGHTS OF ANY THIRD PARTY.
13. EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND CONDITIONS,
IN NO EVENT SHALL THE NET MEMETIC OR ITS LICENSORS BE LIABLE
FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR
CONSEQUENTIAL DAMAGES OR LOSS, COSTS, EXPENSES OR OTHER CLAIMS
FOR COMPENSATION WHATSOEVER, (INCLUDING, BUT NOT LIMITED TO,
PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA,
PROFITS, ANTICIPATED SAVINGS OR GOODWILL; OR BUSINESS
INTERRUPTION; OR WASTED EXPENDITURE) HOWEVER CAUSED AND ON
ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY,
OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY
WAY OUT OF THE USE OF OR RELATING TO THE SOFTWARE, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. WITHOUT PREJUDICE
TO THE GENERALITY OF THE FOREGOING, IN NO EVENT SHALL THE
NET MEMETIC'S LIABILITY EXCEED THE AMOUNT OF LICENSE FEES
PAID BY YOU FOR USE OF THE SOFTWARE.
14. In entering into the License Agreement, you acknowledge that you do not
do so on the basis of, and do not rely on, any representation, warranty or
other provision except as expressly provided in these terms and conditions,
and all conditions, warranties or other terms implied by statute or common
law are excluded to the fullest extent permitted by law.
15. The Net Memetic shall not be deemed to be in breach of any of its
obligations under the License Agreement or have any liability in so far as
it is prevented from performing its obligations under the License Agreement
by reason of any circumstances beyond its reasonable control, including
(without limitation) any strike,, lock-out or other industrial action,
failure of power, telecommunication system or equipment, Acts of God, war
or acts or threats of terrorism.
16. You acknowledge that any breach of these terms and conditions may cause
irreparable damage to The Net Memetic, and you accordingly agree that The
Net Memetic shall be entitled to injunctive relief in respect of any such
actual or apprehended breach and, in addition to any award by the court in
favour of The Net Memetic, to be reimbursed in full for all costs and
expenses (including legal expenses) incurred in enforcing these terms and
conditions.
17. The License Agreement is subject to the laws of the Republic of
Singapore. Should any provision here be or become invalid or unenforceable,
this shall not affect the legal validity of the other provisions here. In
this case, the invalid or unenforceable provision shall be replaced where
possible by a legitimate provision with an equivalent or the closest
commercial intent. You agree to submit to the jurisdiction of the Singapore
courts in respect of any dispute arising in relation to the License
Agreement or the Software.
